OVERVIEW

Welcome to C-Tech Auto Body Supply Inc. (“C-Tech,” “we,” “us,” or “our”).

C-Tech operates this website, online store, and related services, including the information, content, features, tools, products, customer accounts, wholesale accounts, and services made available through our website (collectively, the “Services”).

Our online store is powered by Shopify, which provides the e-commerce platform that enables us to offer the Services to you.

These Terms of Service (“Terms”), together with our Privacy Policy, Return & Refund Policy, Shipping Policy, and any other policies referenced herein, govern your access to and use of the Services.

Please read these Terms carefully. They contain important information concerning your legal rights, including warranty disclaimers and limitations of liability.

By accessing, browsing, purchasing from, creating an account with, or otherwise using our Services, you agree to these Terms and our applicable policies.

If you do not agree, you should not use the Services.

SECTION 1 — ELIGIBILITY, ACCESS AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence and have the legal capacity to enter into these Terms.

You agree to provide accurate, current, and complete information when creating an account, submitting a wholesale application, placing an order, or otherwise interacting with C-Tech.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

You may not sell, transfer, assign, or permit unauthorized use of your account.

C-Tech reserves the right to suspend, restrict, or terminate an account where we reasonably believe there has been unauthorized use, fraud, misuse of the Services, violation of these Terms, or other activity that may expose C-Tech, Shopify, our customers, or others to harm or liability.

SECTION 2 — RETAIL AND WHOLESALE CUSTOMERS

C-Tech serves both retail customers and professional/business customers, including auto body shops, collision repair facilities, automotive professionals, and other approved commercial customers.

Certain products, prices, promotions, services, delivery options, and account features may be available only to approved wholesale customers.

Registration for a customer account does not automatically qualify you for wholesale pricing.

C-Tech reserves the right to:

  • Approve or decline wholesale account applications;
  • Request reasonable business information or documentation;
  • Establish eligibility requirements for wholesale accounts;
  • Assign or modify wholesale pricing;
  • Limit certain products or services to qualified customers;
  • Suspend or terminate wholesale privileges where appropriate.

Wholesale pricing and benefits may vary by customer, product, quantity, location, promotion, or other commercial considerations.

Unless C-Tech expressly agrees otherwise in writing, wholesale pricing does not guarantee future pricing, product availability, purchasing volume, credit terms, or exclusivity.

SECTION 3 — BUSINESS AND RESALE PURCHASES

Unlike the standard consumer-only language, C-Tech permits purchases for legitimate business and commercial purposes.

Approved customers may purchase products for use in their businesses and, where authorized by C-Tech and applicable law, for resale.

Customers purchasing products for resale or claiming a sales-tax exemption are responsible for providing accurate and valid resale certificates, tax-exemption certificates, or other documentation required by C-Tech or applicable law.

You are responsible for maintaining the validity of documentation provided to C-Tech and notifying us if your eligibility changes.

C-Tech reserves the right to charge applicable taxes where valid exemption documentation has not been provided or cannot be verified.

This section intentionally replaces the existing template provision that says purchases cannot be made for commercial resale.

SECTION 4 — PRODUCTS AND PRODUCT INFORMATION

C-Tech makes reasonable efforts to accurately display and describe products offered through the Services.

However, product colors, packaging, labels, dimensions, specifications, and appearance may differ slightly from photographs or other representations displayed online.

Colors displayed on a screen may also vary depending on the customer's device, monitor, display settings, and other factors.

Product packaging, manufacturer specifications, branding, formulas, and designs may change without notice.

C-Tech reserves the right to:

  • Change product descriptions;
  • Correct product information;
  • Discontinue products;
  • Substitute updated packaging where the underlying product remains appropriate;
  • Limit quantities;
  • Restrict sales by customer or geographic area where appropriate.

The original Shopify Terms similarly reserve the right to change descriptions, discontinue products, and limit quantities.

SECTION 5 — PROFESSIONAL AND AUTOMOTIVE PRODUCTS

C-Tech sells products intended for automotive refinishing, collision repair, bodywork, painting, sanding, polishing, masking, detailing, and related professional applications.

Some products may require professional knowledge, specialized equipment, personal protective equipment (“PPE”), ventilation, or compliance with manufacturer instructions, Safety Data Sheets (“SDS”), workplace safety requirements, environmental requirements, fire codes, transportation regulations, or other applicable laws.

Customers are responsible for:

  • Reviewing product labels and instructions before use;
  • Reviewing applicable SDS information;
  • Using appropriate PPE;
  • Providing appropriate ventilation;
  • Properly storing, handling, transporting, and disposing of products;
  • Determining whether a product is appropriate for the intended application;
  • Complying with applicable workplace, environmental, transportation, and safety requirements.

Do not use a product contrary to its manufacturer's instructions, warnings, technical documentation, or applicable law.

SECTION 6 — HAZARDOUS AND FLAMMABLE PRODUCTS

Certain products sold by C-Tech may be classified as hazardous materials, dangerous goods, flammable liquids, chemicals, solvents, coatings, activators, hardeners, reducers, or other regulated products.

Such products may be subject to special restrictions relating to:

  • Shipping;
  • Local delivery;
  • Storage;
  • Handling;
  • Return transportation;
  • Disposal;
  • Geographic availability.

Some hazardous or flammable products may not be eligible for standard shipping or returns.

Availability displayed on our website does not guarantee that a regulated product can legally or safely be shipped to every destination.

C-Tech may cancel, modify, restrict, or require an alternative fulfillment method for an order when necessary to comply with applicable transportation, carrier, safety, or regulatory requirements.

SECTION 7 — ORDERS

When you submit an order, you are making an offer to purchase the products in that order.

An order is not considered finally accepted until C-Tech accepts and processes it.

We reserve the right to accept, decline, modify, or cancel an order where permitted by law, including because of:

  • Product unavailability;
  • Pricing or listing errors;
  • Payment issues;
  • Suspected fraud;
  • Quantity limitations;
  • Shipping restrictions;
  • Hazardous-material restrictions;
  • Wholesale-account issues;
  • Other reasonable business or regulatory considerations.

If we cancel or materially modify an order, we will attempt to contact you using the information provided with your order.

Please review your order carefully before submitting it. Once processing has begun, we may be unable to accommodate cancellation or modification requests.

Your existing Terms provide C-Tech with similar order-acceptance and cancellation rights.

SECTION 8 — PRICING, BILLING AND PAYMENT

Prices, wholesale prices, discounts, promotions, and product availability may change without notice.

Unless otherwise expressly stated, prices displayed through the Services do not include applicable:

  • Sales taxes;
  • Shipping charges;
  • Delivery charges;
  • Handling charges;
  • Customs charges;
  • Import duties or other government charges.

The applicable price will generally be the price presented to you when your order is submitted, subject to correction of obvious pricing or listing errors.

Wholesale customers may see different prices after signing into an approved wholesale account.

You agree to provide accurate, current, and complete billing and payment information.

You represent that you are authorized to use the payment method submitted for your purchase.

C-Tech may use third-party payment processors to process payments.

The existing Terms similarly provide that pricing and promotions may change and require customers to provide accurate payment information.

SECTION 9 — WHOLESALE PRICING AND ACCOUNT ACCESS

Wholesale pricing is intended only for the approved wholesale customer associated with the account.

Customers may not improperly share wholesale credentials or use another customer's wholesale account to obtain pricing for which they are not eligible.

C-Tech may modify wholesale pricing, discounts, account classifications, or eligibility requirements from time to time.

Unless expressly agreed to by C-Tech in writing, wholesale status does not create an obligation for C-Tech to:

  • Maintain a specific discount;
  • Maintain a specific product price;
  • Reserve inventory;
  • Provide credit;
  • Guarantee delivery times;
  • Provide exclusive territory rights.

SECTION 10 — SHIPPING AND LOCAL DELIVERY

Shipping and delivery dates are estimates unless C-Tech expressly states otherwise.

Actual delivery times may be affected by product availability, carrier operations, weather, traffic, regulatory restrictions, hazardous-material requirements, customs processing, or circumstances beyond our reasonable control.

Certain products may be restricted to local delivery, customer pickup, or other approved transportation methods.

Customers are responsible for providing a complete and accurate delivery address and ensuring that an authorized person can receive products where required.

Any risk-of-loss provision in these Terms applies only to the extent permitted by applicable law.

The existing Shopify template states that delivery estimates are not guaranteed and addresses delays outside C-Tech's control.

SECTION 11 — RETURNS, REFUNDS AND EXCHANGES

Returns, refunds, and exchanges are governed by C-Tech's Return & Refund Policy.

C-Tech generally maintains a 30-day return period for eligible products, subject to the conditions and exclusions described in that policy.

Certain products may not be returnable, including, where applicable:

  • Opened or used chemical products;
  • Mixed or custom-matched products;
  • Certain hazardous or flammable materials;
  • Custom or special-order products;
  • Used, installed, contaminated, altered, or damaged merchandise;
  • Final-sale merchandise.

Customers should review the Return & Refund Policy before returning merchandise.

No merchandise should be returned without obtaining the required return authorization or instructions from C-Tech.

SECTION 12 — PRODUCT AVAILABILITY AND INVENTORY

Inventory information displayed online is provided for convenience and may not always reflect real-time physical availability.

An item appearing “in stock” does not guarantee that the product will remain available when an order is processed.

C-Tech may limit quantities, allocate inventory among customers, substitute an updated version where appropriate, place items on backorder where permitted, or cancel unavailable items.

If a material availability issue affects your order, we will make reasonable efforts to communicate with you.

SECTION 13 — ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information available through the Services may contain typographical errors, inaccuracies, or omissions relating to:

  • Product descriptions;
  • Specifications;
  • Pricing;
  • Promotions;
  • Shipping charges;
  • Transit times;
  • Inventory;
  • Product availability.

C-Tech reserves the right to correct errors or inaccuracies and update information as permitted by applicable law.

Where permitted, we may cancel or modify an affected order if material information was incorrect.

This protection appears in Section 12 of your existing Terms.

SECTION 14 — INTELLECTUAL PROPERTY

The Services and their content, including trademarks, trade names, logos, product names, text, photographs, graphics, videos, designs, layouts, and other materials, are owned by or licensed to C-Tech, Shopify, or applicable third parties and may be protected by intellectual property laws.

C-Tech's names, logos, product branding, designs, and slogans may not be reproduced or used without authorization where such authorization is legally required.

Nothing in these Terms grants you ownership of C-Tech's intellectual property.

Shopify's trademarks and the trademarks of third-party manufacturers remain the property of their respective owners.

These protections are also included in your existing Terms.

SECTION 15 — THIRD-PARTY TOOLS AND SERVICES

Certain Services may rely on or integrate with third-party providers, including payment processors, account-management services, shipping providers, analytics providers, and other technology providers.

C-Tech does not necessarily control those third-party services.

Your use of third-party services may also be governed by the provider's own terms and privacy policies.

To the extent permitted by law, C-Tech is not responsible for independent third-party services outside our reasonable control.

SECTION 16 — THIRD-PARTY LINKS

Our Services may contain links to third-party websites.

C-Tech does not control and is not responsible for the content, availability, privacy practices, security, products, or services offered by independent third-party websites.

You should review the applicable policies and terms before transacting with a third party.

The original Terms contain substantially similar third-party website protections.

SECTION 17 — RELATIONSHIP WITH SHOPIFY

C-Tech Auto Body Supply is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with C-Tech Auto Body Supply. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and C-Tech Auto Body Supply, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with C-Tech Auto Body Supply.

I have intentionally kept this provision substantially as provided because Shopify's template expressly instructs merchants that its relationship section should not be removed or modified.

SECTION 18 — PRIVACY

Personal information collected through the Services is handled according to C-Tech's Privacy Policy.

Because our online store is hosted by Shopify, Shopify also collects and processes certain information concerning your access to and use of the Services.

Information submitted through the Services may be transmitted to Shopify and other service providers necessary to provide the Services.

Please review C-Tech's Privacy Policy and, where applicable, Shopify's privacy disclosures for additional information.

The original Terms specifically address both C-Tech's and Shopify's privacy policies.

SECTION 19 — CUSTOMER FEEDBACK AND REVIEWS

If you voluntarily submit reviews, photographs, feedback, suggestions, ideas, or other content to C-Tech, you represent that you have the right to submit that material.

To the extent permitted by law, you grant C-Tech a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, adapt, and distribute such content for legitimate business purposes, including operating, improving, and promoting C-Tech and its Services.

You may not submit content that:

  • Infringes another person's rights;
  • Is knowingly false or misleading;
  • Is unlawful, defamatory, abusive, or obscene;
  • Contains malware or harmful code;
  • Misrepresents your identity or relationship with C-Tech.

The existing Terms contain more extensive provisions governing customer feedback and content.

SECTION 20 — PROHIBITED USES

You may use the Services only for lawful purposes.

You may not use the Services to:

  • Violate applicable laws or regulations;
  • Commit or facilitate fraud;
  • Infringe intellectual property rights;
  • Harass, threaten, or harm others;
  • Submit knowingly false or misleading information;
  • Introduce viruses, malware, or malicious code;
  • Improperly collect personal information belonging to others;
  • Circumvent security or authorization measures;
  • Attempt unauthorized access to accounts or systems;
  • Interfere with the operation or security of the Services;
  • Scrape, extract, reproduce, or commercially exploit protected website content in violation of applicable law or these Terms.

C-Tech may suspend or terminate access for violations of these Terms.

The original Shopify Terms contain a more detailed prohibited-use provision.

SECTION 21 — AUTOMATED AGENTS

Where software agents, automated systems, bots, or similar technology interact with the Services, such systems must comply with applicable technical restrictions, access controls, and identification requirements imposed by C-Tech or Shopify.

Automated systems may not conceal their automated nature, circumvent CAPTCHA or security controls, bypass access restrictions, or continue accessing the Services after being instructed or technically prevented from doing so.

Your current Shopify Terms contain a dedicated Agent section governing automated access.

SECTION 22 — TERMINATION

C-Tech may suspend or terminate access to the Services or an account where permitted by law, including for violations of these Terms, fraudulent activity, misuse, security concerns, or nonpayment.

Termination does not eliminate payment obligations or liabilities incurred before termination.

Provisions that by their nature should survive termination—including intellectual property, payment obligations, warranty disclaimers, liability limitations, indemnification, privacy, and governing-law provisions—will continue to apply.

SECTION 23 — DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED BY C-TECH OR THAT CANNOT LEGALLY BE DISCLAIMED, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

C-TECH DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL ALWAYS BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE.

PRODUCT WARRANTIES, IF ANY, MAY BE PROVIDED SEPARATELY BY C-TECH OR THE APPLICABLE PRODUCT MANUFACTURER.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR CUSTOMER RIGHTS THAT CANNOT LEGALLY BE EXCLUDED.

Your existing Terms contain comparable warranty-disclaimer language.

SECTION 24 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, C-TECH AUTO BODY SUPPLY INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR SIMILAR DAMAGES ARISING FROM OR RELATING TO THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES, EXCEPT WHERE SUCH LIABILITY CANNOT LEGALLY BE LIMITED OR EXCLUDED.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

Your Shopify template contains a broader limitation-of-liability clause; the underlying protection is preserved here while adding an express applicable-law qualification.

SECTION 25 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless C-Tech, Shopify, and their respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

  1. Your material violation of these Terms;
  2. Your violation of applicable law;
  3. Your infringement of another party's rights; or
  4. Your unlawful or unauthorized use of the Services.

Your existing Terms include similar indemnification protections for C-Tech and Shopify.

SECTION 26 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or severed where necessary.

The remaining provisions will remain in effect.

SECTION 27 — WAIVER AND ENTIRE AGREEMENT

C-Tech's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with policies and other terms incorporated by reference, constitute the agreement governing your use of the Services, subject to any separate written agreement between you and C-Tech.

A separate written wholesale, credit, distribution, purchasing, or commercial agreement executed by C-Tech and a customer may contain additional or different terms. Where expressly stated, that agreement will control over inconsistent provisions of these general website Terms.

SECTION 28 — ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without C-Tech's prior written consent, except where applicable law provides otherwise.

C-Tech may transfer or assign its rights and obligations as permitted by applicable law.

SECTION 29 — GOVERNING LAW

These Terms and your use of the Services will be governed by applicable federal law and the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

To the extent a dispute may lawfully be subject to an agreed forum, the parties consent to the jurisdiction of the appropriate state or federal courts located in Massachusetts.

This makes the generic governing-law provision in the Shopify template specific to C-Tech's Massachusetts headquarters. The original currently refers generally to the jurisdiction where C-Tech is headquartered.

SECTION 30 — CHANGES TO THESE TERMS

We may update these Terms periodically to reflect changes to our Services, products, business practices, technology, legal requirements, or operations.

The most current version will be posted on this website.

Where required by applicable law, we will provide notice of material changes.

Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
